TERMS OF MAXADS.COM

INTRODUCTION
MaxAds.com (“MaxAds”) is managed by the company Blue-Island Sàrl, Rue de l'Industrie 21, 1450 Sainte-Croix (Switzerland). The company is registered in the Swiss commercial register under the Swiss UID CHE-132.801.453.

MaxAds allows advertisers to place their advertisements on third-party websites in the spaces provided by the publishers. Neither MaxAds is responsible for the content of advertisements, nor for the content of the websites hosting ads.


1) DEFINITIONS
Publisher: Refers to a person or entity that provides advertising space on its website using MaxAds.
Advertiser: Refers to a person or entity that purchases advertising with MaxAds.

Mode of remuneration:
- CPM (cost Per Thousand): price of 1,000 advertisement impressions.
- CLICK: the fact for a user to click on an advertisement broadcast.
- LEAD: the fact for a user to register or validate a form on an advertiser's site.
- SALE: does for a user to make a sale or subscript to an offer on an advertiser's site.


 

2) PUBLISHERS
2.1 Space for advertising
- The advertising spaces should be placed on your website, preferably on the URL that you indicated as' prominently featured '.
- Maximum 5 slots per page, and there should be no more than 2 ads with the same size.


 

Exception: for external scripts (dedicated to a campaign) with « pay per lead » or « pay per click » remuneration, you can provide with an unlimited number of ad spaces.

- You can place the ads spaces in another section of your website but it is advisable to specify it in the description of your website.
- It is strictly forbidden to put your location in a cache space. At any time the advertiser must be able to visualize the advertising space displayed on your website!
- It is strictly forbidden to place ads spaces on websites that you did not register on MaxAds!
- Any tag must be added only to pages hosted on the website registered on MaxAds. Using an iframe containing the MaxAds’ tag which is hosted on another website is strictly forbidden.
- Advertising campaigns (banners) are displayed only for users whose browsers return a referer. Otherwise, the publisher’s self-promotion will be displayed.
- You shall not modify any computer code!

2.2 Incentives and cheating
- The incentive is strictly forbidden on our advertising platform, except for the campaigns for which the advertiser explicitly accepts the incentive. In such a case, the incentive must be performed only with the 'independent campaign' option and in no event on pre-configured ad spaces (rotary advertising).


Any publisher practicing non-solicited incentive by the advertiser, or on ads spaces where it is forbidden, will be subject to account termination by MaxAds without compensation!


- As publisher, you shall not click on the ads yourself or use an automatic system to generate clicks. MaxAds will only pay you for your website’s natural traffic deriving from visitors, accessing your website, who are not being influenced in any way to click on your advertisements, with the exception of specific campaigns where incentive is allowed by the advertiser.

- Any publisher placing an advertising space on a website that wasn't previously registered on MaxAds will be considered as 'cheating'!


2.3 Payment of earnings

To request a payment you must have a minimum of 20 Euros on your account. Payments must be requested between the 1st and 15th day of each month. All payments are sent within 15 days after request!

2.4 Duties of the publisher
- The publisher agrees to provide a lawful content on its website and to comply with the Terms. Especially forbidden are gambling and games of chances websites; sites offering pornography (sexual content); or the illegal downloading of copyrighted works.
- The publisher shall declare to the competent tax authorities and administration any income received from MaxAds.
- MaxAds cannot be held responsible for non-reporting of the publisher’s earnings.
- As a publisher, you agree to abide by these Terms and all applicable laws. Otherwise, your account will be deleted without notice or payment. Any legal action is reserved, and MaxAds reserves the right to disclose any information about you to the authorities that request it, without liability from MaxAds.

2.5 Campaigns validation deadlines
- When an advertiser shows an interest for a campaign on one of your advertising space and that you have enabled manual validation, you have up to 14 days to accept or reject the request. If you do not take your decision within these 14 days, the request will be considered as accepted and validated automatically.

2.6 Responsibility
The publisher is solely responsible for the advertising on its website. While some ads are not consistent with applicable law, it is the publisher’s responsibility to inform MaxAds without delay and take appropriate action. The Publisher undertakes to fully indemnify MaxAds upon conviction arising thereof in connection with advertisements on the publisher’s website.


 

3) ADVERTISERS
3.1 Refund Policy of credits purchased
- The credits purchased on Allopass are not refundable.
- Refunds will be made to the same account and the same method as those used for the payment: for example, a transfer by PayPal will be refunded on the same PayPal address, and a bank transfer will be refunded on the same bank account.

Unless another refund method is agreed and accepted by the advertiser and MaxAds:
- A refund is possible, provided that the credit granted to the advertiser is fully unused.
- Refund requests must be received within 30 days of the purchase date.
- MaxAds reserves the right to deduct fees charged by third parties that have proceeded to the payment process, and the fees paid by MaxAds to refund the money.
- You agree to notify us as soon as possible in case of detection of 'cheating' by a publisher.

- MaxAds will reimburse, the displays / clicks arising from 'cheating' to a maximum equivalent of 30 days, any advertiser who warned MaxAds previously that he has been the victim of 'cheating' by a publisher!
- As an advertiser you have the referer 'url provenance ' and IP clicks on your ad campaigns!

3.2 Duties of the advertiser
- As MaxAds made available the necessary tools ' referrer and ip' to advertisers, it is your sole responsibility as an advertiser to monitor publishers’ duties.
- You agree to notify MaxAds as soon as possible in case of detection of 'cheating' by a publisher.
- You must own or you must have the consent of the webmaster of the website that you are promoting.
- The website you are promoting must not operate any illegal activity or promote it. Especially forbidden are websites that offer pornography, websites with advertising for prescription drugs, websites promoting hatred or racial discrimination, websites offering illegal downloading of copyrighted works, etc..
- The advertiser is responsible to take the necessary measures to ensure that content promoting alcohol or tobacco shall not be accessible to the public under 18 years old.
- Advertising must not be misleading or disloyal.
- As an advertiser you agree to abide by these Terms and applicable laws.

3.3 Obligations for pay-per-lead campaigns
For “pay-per-lead” campaigns, the advertiser agrees not to remove the code (tag) that allows MaxAds to track the relevant data. If the tag is removed, the campaign will automatically switch to a PPC type campaign, on the basis of 0.10 Euros per click since the last recorded lead.

3.4 Conditions of lead acceptance
The leads must all be accepted, except in the cases of 'cheating', incomplete or incorrect registration.

 

If you have any restrictions of countries, use of proxies, or any other similar restrictions, they must be indicated in your campaign.

If you want an advertising campaign with special conditions, they must be clearly specified when creating your campaign. For example: “lead is validated if the member is active”.

3.5 Campaign validation deadlines
- When you offer a campaign to publishers with manual validation, you have up to 14 days to accept or reject demands. If you do not take a decision within these 14 days, the publisher’s requests will be considered as accepted and automatically validated.

3.6 Interruption
-At any time you can interrupt an advertising campaign to re-launch it later.


4 MISCELLANEOUS
4.1 Publishers and advertisers acceptance guidelines:

- Websites on MaxAds must comply with Swiss law and shall not be indecent or immoral.
- Adult sites are not allowed (nudity content or pornography sites).

- The site must have a minimum level of content.
- You must be the owner of the proposed websites or have the owner’s authorization, and have control of the offered content.
- MaxAds reserves the right to refuse a site that does not correspond to its acceptance policy. MaxAds does not have to justify its decision.
- The acceptance of a site by MaxAds does not indicate that its content is compliant with applicable law.
- You are solely responsible for the content of your websites.
- The ads and/or banners may contain advertising and targeting cookies. Advertising and targeting cookies are used to deliver advertisements that are relevant to the website’s user and his/her interests, and may be used to chart the effectiveness of an ad campaign. To the extent required by any applicable law, you shall ensure that the website’s user did consent to your use of such cookies.

- MaxAds shall not in any way be held responsible for the content displayed on your website.

- In case of legal disputes, your personal information may be transmitted to competent courts and authorities. Similarly MaxAds will answer any inquiry addressed by the competent authorities under applicable law.

 

4.2 MaxAds' liability for server/script breakdowns

MaxAds shall not be held responsible for any possible breakdown, although MaxAds strives to maintain a quality service and does its best to keep downtime to a minimum.

 

4.3 Multi-accounts
The creation of multiple accounts by the same person or the same company is strictly prohibited. The discovery of multiple accounts shall cause their removal, and the removal of any gains generated through affiliate accounts associated with it.


4.4 Bonus policy
The bonuses offered by MaxAds are intended to be used for the purchase of campaign credits.
If you request a refund and have not used the entire bonus, it will be deducted from your account balance.

 

4.5 Account Closure
You may request termination of your account by sending a simple email to MaxAds, and it will be deleted within 7 business days.

 

The payouts will be made providing that the balance is greater than or equal to 20 Euros.


 

MaxAds may also decide to close down any account without notice and without warning to the owner in the event of non -compliance with the Terms or fraud. In case of no login for more than 360 days, MaxAds reserves the right to consider this account to be “abandoned”, and to close it. No refund will be made.
 

4.6 Modification of Terms
The Terms may be modified at any time. You will be notified by email, and unless termination of your account, the new terms and conditions are considered accepted upon your next use of the MaxAds website.

4.7 Privacy
Personal information provided by members are used to provide the service requested; manage your account and process invoices; contact you to inform you of special offers that might interest you; enforce the Terms; or for any other purpose as described at collection.

MaxAds undertakes not to transfer to third parties personal information of its members without their consent. Any competent court’s order or legal obligation is reserved.

 

4.8 Cookies

A cookie is a small file, typically a string of information of letters and numbers, downloaded on to a device when a person accesses certain websites. Cookies are then sent back to originating website on each subsequent visit. Cookies are useful because they allow a website to recognize a person's device.

 

MaxAds uses cookies to help MaxAds identify and track your usage of its website, and your access preferences. If you do not wish to have cookies placed on your computer, you should set your browsers to refuse cookies before using MaxAds, with the drawback that certain features of MaxAds may not function properly without the help of cookies.

4.9 Governing law and Jurisdiction
These Terms are governed by the substantive rules of Swiss law. In case of any dispute, controversy or claim arising out of, or in relation to, these Terms, including the validity, invalidity, breach, or termination thereof, the parties will prefer an amicable settlement, before it shall be finally resolved by the competent courts of Lausanne, Switzerland.
